Model Representation Agreement and Standard Terms & Conditions

Effective Date: July 2026

These Terms and Conditions set out the agreement between Beautiful Bumps Limited trading as Kiddiwinks Agency (“Kiddiwinks”, “the Agency”, “we”, “our” or “us”) and any individual registered with the Agency (“the Model”, “you” or “your”).
By registering with Kiddiwinks, accepting a booking or undertaking any assignment arranged by the Agency, you agree to be bound by these Terms and Conditions.
These Terms should be read together with our Privacy Policy and any additional booking information supplied for a particular assignment.

1. About Kiddiwinks
Kiddiwinks is a UK-based casting and talent agency representing babies, children, adults and families for photographic, television, film, commercial, promotional and other media assignments.
The Agency acts as an intermediary between Models and Clients. Unless expressly stated otherwise, Kiddiwinks is not the employer of the Model.

2. Definitions
For the purposes of these Terms:
Agency means Beautiful Bumps Limited trading as Kiddiwinks Agency.
Assignment means any booking, casting, audition, photographic shoot, television production, film production, commercial, promotional activity, data collection project or other engagement arranged by Kiddiwinks.
Client means any individual, company, production company, advertising agency or organisation engaging the services of a Model through Kiddiwinks.
Booking Confirmation means the written confirmation issued by Kiddiwinks confirming an Assignment.
Model means any individual represented by Kiddiwinks.
Parent or Guardian means the legal parent or guardian of any Model under the age of 18.
Usage means the agreed use of photographs, video, audio or other recorded material produced during an Assignment.
Release Form means any model release, consent form or similar document relating to the agreed Usage.

3. Registration
Registration with Kiddiwinks does not guarantee work.
The Agency will use reasonable endeavours to obtain suitable opportunities for Models but cannot guarantee the number, frequency or value of bookings.
Models agree that all information supplied during registration is accurate and complete.
You agree to notify Kiddiwinks promptly if any of the following change:
• your address
• telephone number
• email address
• emergency contact details
• bank details
• measurements
• appearance (including significant changes to hair, tattoos, piercings or facial hair where relevant)
• availability to work
• legal right to work in the United Kingdom
Providing false or misleading information may result in suspension or termination of representation.
Right to Work
Models are responsible for ensuring that they have the legal right to work in the United Kingdom where applicable.
Kiddiwinks reserves the right to request evidence of a Model’s identity, age and right to work at any time. Failure to provide satisfactory documentation may result in registration being suspended or terminated until such documentation has been received.

4. Representation
Unless otherwise agreed in writing, registration with Kiddiwinks is non-exclusive.
Models remain free to accept representation from other agencies, provided this does not create a conflict with an existing Kiddiwinks booking.
Models must not negotiate fees or booking terms directly with Clients for Assignments introduced by Kiddiwinks without the Agency’s prior written consent.
Any extension of a booking, repeat booking or additional usage arising from an Assignment introduced by Kiddiwinks must be referred back to the Agency.

5. Availability
Models should keep Kiddiwinks informed of their availability.
Once a Model has confirmed availability and accepted an Assignment, they are expected to honour that commitment unless prevented by illness, emergency or other exceptional circumstances.
If you become unavailable after accepting a booking, you must notify Kiddiwinks immediately.
Failure to attend an Assignment without reasonable notice may affect future representation.

6. Castings and Auditions
Attendance at castings and auditions does not guarantee selection.
Models should arrive punctually and present themselves professionally.
Clients may change their requirements at any stage, and Kiddiwinks cannot be held responsible for decisions made by Clients regarding selection.
Any expenses incurred in attending castings are the responsibility of the Model unless otherwise agreed in writing.

7. Professional Conduct
Models are expected to:
• behave professionally at all times
• follow reasonable instructions from the Client and production team
• treat all individuals with courtesy and respect
• comply with health and safety requirements
• avoid behaviour likely to damage the reputation of Kiddiwinks or its Clients
The Agency reserves the right to terminate representation where serious misconduct occurs.
8. The Model’s Responsibilities
Models agree to:
• attend all confirmed Assignments punctually and in a professional manner;
• follow all reasonable instructions given by Kiddiwinks, the Client or authorised members of the production team;
• conduct themselves courteously and professionally throughout the Assignment;
• inform Kiddiwinks immediately if they are delayed, become ill or are unable to attend an Assignment;
• ensure that any information provided to Kiddiwinks remains accurate and up to date.
Models must not consume alcohol or illegal drugs before or during an Assignment and must not attend an Assignment under the influence of any substance that could affect their ability to work safely or professionally.
Where a Model has any medical condition, allergy or accessibility requirement that may affect an Assignment, they should inform Kiddiwinks in advance so reasonable arrangements can be discussed with the Client where appropriate.

9. Fees and Payment
Unless otherwise agreed in writing, all fees will be negotiated between Kiddiwinks and the Client.
Models must not negotiate or accept payment directly from a Client for any Assignment introduced by Kiddiwinks without the Agency’s prior written agreement.
Payments to Models will normally be made within 10 days of Kiddiwinks receiving cleared funds from the Client.
Whilst Kiddiwinks will take all reasonable steps to recover outstanding fees from Clients, the Agency cannot make payment until cleared funds have been received.
All payments will be made by bank transfer unless otherwise agreed.
Models are responsible for ensuring that their bank details are accurate.

10. Tax and National Insurance
Models are responsible for declaring their earnings to HM Revenue & Customs and for paying any Income Tax, National Insurance contributions or VAT (where applicable).
Nothing within these Terms creates a contract of employment between Kiddiwinks and the Model.

11. Expenses
Unless specifically agreed in writing before an Assignment, Models are responsible for their own travel, accommodation, parking and other incidental expenses.
Where a Client has agreed to reimburse expenses, Kiddiwinks will advise the Model in advance.
Valid receipts may be required before reimbursement can be processed.

12. Cancellations
Clients occasionally cancel or amend Assignments at short notice.
Kiddiwinks cannot be held responsible for cancellations made by Clients.
If a Model needs to cancel a confirmed Assignment, Kiddiwinks must be informed immediately.
Repeated cancellations or failure to attend confirmed bookings without reasonable explanation may result in suspension or termination of representation.

13. Release Forms and Consents
Clients may require Models to sign a Model Release Form or other consent documentation before or during an Assignment.
The Model agrees to cooperate by signing any reasonable documentation required for the agreed Assignment, provided that such documentation accurately reflects the agreed Usage communicated through Kiddiwinks.
If a Release Form appears to grant additional rights, significantly wider usage or contains terms that differ from those agreed through Kiddiwinks, the Model must refer the document to Kiddiwinks before signing.
Models should not agree separately with a Client to extend image usage, grant additional licences or vary agreed rights without Kiddiwinks’ prior knowledge.

14. Image Rights and Additional Usage
Unless otherwise agreed in writing, the Model’s participation in an Assignment is limited to the Usage negotiated between Kiddiwinks and the Client.
Any additional use of photographs, video, audio or other recordings, including but not limited to:
• extended campaign periods;
• additional territories;
• additional media;
• new advertising campaigns;
• re-licensing;
• re-editing for substantially different purposes;
• merchandising;
• promotional materials not originally agreed;
should be negotiated through Kiddiwinks.
Where additional fees become payable for extended Usage, Kiddiwinks will negotiate these with the Client on behalf of the Model.

15. Artificial Intelligence, Digital Replicas and Emerging Technologies
Unless expressly agreed in writing through Kiddiwinks, the Model does not consent to their image, likeness, voice, name or performance being used for:
• artificial intelligence (AI) training;
• machine learning datasets;
• synthetic media;
• digital replicas;
• digital avatars;
• deepfakes;
• face replacement technology;
• voice cloning;
• biometric or facial recognition datasets;
• virtual influencers;
• generative AI content;
• AI-generated videos or animations; or
• any other digitally created or manipulated content beyond the Usage originally agreed through Kiddiwinks.
Any proposed use of a Model’s image or performance for AI, synthetic media or similar technologies must be referred to Kiddiwinks before such use takes place and shall require a separate written agreement between the Client and Kiddiwinks.
Nothing in these Terms permits a Client to create new content, advertisements, performances or digital representations using a Model’s image or likeness beyond the agreed Usage without obtaining prior written consent through Kiddiwinks.

16. Confidentiality
Many Assignments involve confidential products, advertising campaigns or productions.
Models must not disclose confidential information obtained during an Assignment unless that information has already entered the public domain.
This includes, but is not limited to:
• scripts;
• products;
• marketing campaigns;
• locations;
• production schedules;
• pricing;
• Client information.
Professional Reputation
Models agree not to make false, misleading or defamatory public statements about Kiddiwinks, its Clients or other Models, whether in person, online or through social media.
Nothing in this clause prevents a Model from raising genuine concerns, reporting unlawful conduct or making protected disclosures under applicable law.

17. Photography and Social Media
Unless expressly authorised by the Client or Kiddiwinks, Models must not:
• photograph or film confidential sets;
• livestream from an Assignment;
• publish behind-the-scenes content;
• disclose confidential campaign information before public release.
Nothing within this clause prevents a Model from including publicly released work within their professional portfolio.

18. Safeguarding
Where an Assignment involves children or vulnerable individuals, Models must comply with all safeguarding procedures communicated by Kiddiwinks, the Client or the production company.
Any safeguarding concern arising during an Assignment should be reported to Kiddiwinks as soon as reasonably practicable.
19. Health and Safety
Models agree to comply with all reasonable health and safety instructions provided by Kiddiwinks, the Client, the production company or the venue at which an Assignment takes place.
No Model will be expected to undertake any activity they reasonably believe to be unsafe. If a Model has concerns regarding their safety during an Assignment, they should raise these immediately with the Client or production representative and notify Kiddiwinks as soon as reasonably practicable.
Models should disclose any medical condition or physical limitation that may affect their ability to undertake an Assignment safely where it is relevant to the work being carried out.

20. Complaints and Concerns
Kiddiwinks is committed to maintaining professional standards for both Models and Clients.
If a Model has any concern regarding an Assignment, payment, working conditions or the conduct of a Client, they should notify Kiddiwinks as soon as reasonably practicable.
The Agency will investigate concerns fairly and, where appropriate, liaise with the Client in an attempt to resolve the matter.

21. Data Protection
Kiddiwinks processes personal information in accordance with the UK General Data Protection Regulation (UK GDPR), the Data Protection Act 2018 and any other applicable data protection legislation.
By registering with Kiddiwinks, Models consent to the Agency holding and processing personal information for the purposes of:
• securing castings and Assignments;
• administering bookings;
• communicating with Clients;
• processing payments;
• complying with legal obligations; and
• managing the Agency’s business operations.
Personal information will only be shared where necessary for the administration of an Assignment or where required by law.

22. Intellectual Property
Nothing within these Terms transfers ownership of any copyright or other intellectual property rights.
The ownership and permitted use of photographs, video, audio and other content created during an Assignment shall be governed by the agreements between Kiddiwinks and the Client together with any applicable Release Form and agreed Usage.

23. Liability
Kiddiwinks acts solely as an agency introducing Models to Clients.
The Agency is not responsible for:
• the actions or omissions of Clients;
• decisions made by Clients regarding selection or casting;
• cancellation of Assignments;
• loss of earnings arising from cancelled bookings;
• delays outside the Agency’s reasonable control;
• any indirect or consequential loss.
Nothing within these Terms limits or excludes liability where such limitation would be unlawful.

24. Insurance
Models are responsible for arranging any personal insurance they consider appropriate.
Where required by law, Clients remain responsible for maintaining appropriate insurance in relation to their productions and activities.

25. Ethical Working Practices
Kiddiwinks is committed to promoting ethical working practices and has a zero-tolerance approach to modern slavery, human trafficking, forced labour and exploitation.
Models who become aware of any conduct that they reasonably believe may involve exploitation, coercion, unsafe working practices or other safeguarding concerns should notify Kiddiwinks as soon as reasonably practicable.
Kiddiwinks reserves the right to refuse or terminate representation of any Client or discontinue any Assignment where the Agency reasonably believes that unethical or unlawful practices may be taking place.
26. Suspension or Termination of Representation
Kiddiwinks reserves the right to suspend or terminate representation where a Model:
• seriously breaches these Terms;
• repeatedly fails to attend confirmed Assignments;
• behaves in a manner likely to damage the reputation of Kiddiwinks or its Clients;
• provides false or misleading information;
• engages in unlawful or fraudulent activity.
Models may terminate their registration with Kiddiwinks at any time by providing written notice.
Termination shall not affect any existing rights or obligations relating to bookings already confirmed.

27. Direct Engagement with Clients
Clients introduced by Kiddiwinks are Clients of the Agency.
Models must not knowingly enter into direct agreements or accept bookings from Clients introduced through Kiddiwinks for the purpose of avoiding the Agency or its commission without Kiddiwinks’ prior written consent.
Where a Client wishes to rebook a Model following an Assignment introduced by Kiddiwinks, the booking should be arranged through the Agency unless otherwise agreed in writing.
Nothing in this clause prevents a Model from accepting work from Clients independently sourced by the Model and wholly unrelated to any introduction made by Kiddiwinks.
28. Changes to these Terms
Kiddiwinks may update these Terms from time to time to reflect changes in legislation, industry practice or the operation of the Agency.
The latest version will be made available on the Kiddiwinks website.
Continued registration with, or acceptance of Assignments through, Kiddiwinks after revised Terms have been published shall constitute acceptance of those updated Terms.

29. Force Majeure
Neither Kiddiwinks nor the Model shall be liable for any failure or delay in performing obligations under these Terms where such failure results from events beyond their reasonable control.
Such events include, but are not limited to:
• severe weather;
• industrial action;
• acts of government;
• epidemic or pandemic;
• fire;
• flood;
• war;
• terrorism;
• transport disruption;
• power or communications failure.

30. Entire Agreement
These Terms, together with the Kiddiwinks Privacy Policy and any written Booking Confirmation issued by Kiddiwinks, constitute the entire agreement between the Agency and the Model.
No verbal statement or representation shall vary these Terms unless confirmed in writing by Kiddiwinks.

31. Severability
If any provision of these Terms is found by a court or other competent authority to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

32. Waiver
Failure by Kiddiwinks to enforce any provision of these Terms shall not constitute a waiver of that provision or of any other right.

33. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of England and Wales.
Any dispute arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
